General terms and conditions of the online store Foodland.sk

Terms and conditions

Establishing the terms and conditions between the operator/seller and the client/buyer (hereinafter referred to as "T&Cs").

  1. These Terms and Conditions (hereinafter referred to as "T&Cs") of TRALYCO SK, spol. s r.o., Stará Vajnorská 17/A, 831 04 Bratislava, Slovak Republic, Company ID: 35 855 991, Tax ID: SK2020240013, registered in the Commercial Register of the District Court Bratislava III, Section: Sro, File No.: 28625/B, Bank Details: ČSOB, a.s., Account No.: 4011553055/7500, IBAN: SK1375000000004011553055, SWIFT/BIC: CEKOSKBX, contact phone: +421 2 446 815 27, email: info@foodland.sk, Responsible Manager: Nguyen Thanh Cuong (hereinafter referred to as the "Company"), apply to the sale of goods and products listed in the online store at www.foodland-express.com, based on orders placed by customers through the e-shop.

  2. The client (buyer) in the online store is any natural or legal person who submits an electronic form with an order for goods (product(s) or service(s)).

  3. When placing an order as an individual (consumer), please provide your name, surname, address for delivery, phone number, and email address. If you are ordering as a legal entity (business or self-employed person), please also include your company name, Company ID, Tax ID/VAT ID, and billing address if it differs from the delivery address.

  4. The Company reserves the right to reject a customer's order if it violates these T&Cs and/or applicable legal regulations. The Company processes received orders on an ongoing basis and within a reasonable timeframe.

  5. Acceptance of an order by the operator, and thus the conclusion of a purchase contract, occurs upon confirmation of the properly and completely filled order electronically (via email) by the operator. The operator reserves the right to adjust the price of the ordered goods (i.e., the operator does not guarantee the price of the goods listed on the website at the time of order placement, as it depends on changes in supplier prices). After placing an order, you will receive an email confirming receipt of the order, along with updates on the status of your order (e.g., processed, shipped, out of stock, etc.). Registered clients can also track their orders online after logging in to the website.

  6. The place of fulfillment of the purchase contract is the address of the client (buyer) specified in the electronic order form. The goods will be delivered by the operator using third-party services (contractual carrier, courier service), by the operator's own means, or as agreed with the client, the goods will be prepared for pickup at the operator's premises. Ownership rights to the goods pass to the client upon delivery under the condition that the purchase price specified in the order is paid in full. Until ownership is transferred from the operator to the client, the client is obligated to act as the custodian of the goods, ensuring their safekeeping at their own expense and marking them so they remain identifiable as the operator's goods.

  7. The operator will deliver the goods to the client as quickly as possible after receiving the electronic order form, within the delivery times specified on the operator's website. The client acknowledges that the delivery times provided are only indicative. The client agrees to extend the delivery time if necessary due to the production of the ordered goods or other circumstances. If the operator is unable to deliver all the ordered goods within the agreed time, the client will be informed as soon as possible and given an estimated delivery date or offered substitute goods. If the client orders goods with non-standard dimensions or goods weighing more than 30 kg, the operator will individually agree on the payment and delivery terms with the client.

  8. If the goods are delivered by a contractual carrier, the client authorizes the operator to provide the necessary personal data (name/company name, address, phone) to the carrier for delivery purposes.

  9. Upon receipt of the goods, the client will receive a receipt, which also serves as proof of payment for the goods in case of cash-on-delivery payment. The receipt also constitutes a written order confirmation. An invoice detailing the purchase price and VAT will be sent to the client via email within 14 days of delivery.

  10. If the client fails to pay for or accept the ordered goods (except in cases of damage during delivery, e.g., if the package is returned undelivered due to no fault of the operator, such as the carrier not finding the recipient, not notifying them of the stored package, or the client negligently or intentionally not accepting the package), the operator may claim damages caused by the breach of obligation. A contractual penalty in such cases is set at a minimum of the shipping cost and a maximum of 50% of the total order price. A message will be sent to the client who did not accept the order, requesting instructions on what to do with their order. The client has seven days to respond to this notice. If the client requests the resending of such returned goods, the operator will add a second handling fee and shipping cost to the total price based on the valid price list. Resending is only possible after prepayment. If the client fails to respond within the specified time, the order will be canceled.

  1. The client, as a consumer, has the right to withdraw from the purchase contract according to § 20 of Act No. 108/2024 Z.z., provided the seller has duly informed the consumer about the right of withdrawal according to § 15 paragraph 1 letter f) of Act No. 108/2024 Z.z. The consumer is entitled to withdraw from a distance contract or a contract concluded outside the seller’s premises within 14 days from the receipt of the goods, as stated in § 20 paragraph 4 of Act No. 108/2024 Z.z. The consumer may also withdraw from the contract before the start of the withdrawal period. Withdrawal from the purchase contract must be submitted in writing, via email to TRALYCO SK spol. s.r.o., or personally at the seller’s registered address (a model withdrawal form is available). The consumer has the right to unpack and test the goods during this period in a manner similar to what is usual when shopping in a physical store.

  2. The consumer must return the purchased goods in their original condition, as received (including documentation, accessories, etc.), at their own expense, along with the original purchase receipt to the operator’s address (not cash on delivery). The right to withdraw from the contract does not apply if the goods were purchased and personally picked up at the operator's premises. The operator commits to refund the consumer for the returned goods within 14 days from the receipt of the returned goods, using the same payment method as used for the original payment unless the consumer requests otherwise. If the returned goods are damaged, used, worn, or incomplete, the operator may refund the purchase price minus the reduction in value due to the condition of the goods, with a minimum deduction of 1% of the total price (in accordance with the relevant provisions of § 457 of the Civil Code).

  3. Withdrawal by the consumer from the purchase contract nullifies the contract from the beginning. The seller is obliged to accept the goods back and refund the consumer the purchase price paid, along with any prepayment made for the goods, including costs incurred by the consumer in connection with ordering the goods (transportation, delivery, postage, and other related costs and fees). This does not apply to additional costs incurred if the consumer explicitly chose a delivery method other than the least expensive standard delivery method offered by the seller. The seller commits to refund these payments within 14 days from receiving the withdrawal notice. However, the seller is not obliged to refund the payments before receiving the goods back or until the consumer proves that the goods have been returned to the seller unless the seller agrees to pick up the goods personally or via an authorized representative. If the consumer withdraws from the contract and delivers goods in reduced value (used, damaged, or incomplete), they are required to cover the costs incurred by the seller for restoring the goods to their original condition. The consumer bears the cost of returning the goods. It is recommended to insure the goods when returning them. Cash-on-delivery packages are not accepted. Withdrawal from the purchase contract also terminates any associated supplementary contracts from the outset.

  4. The consumer cannot withdraw from the contract if the subject of the contract involves:
  • a) The provision of services where the service has been fully provided and began with the consumer’s explicit consent before the withdrawal period ended, and the consumer acknowledged they would lose the right to withdraw once the service was fully provided.
  • b) The supply of goods or services whose price depends on fluctuations in the financial market beyond the seller's control, which may occur during the withdrawal period.
  • c) The supply of goods made to the consumer’s specifications or clearly customized.
  • d) The supply of goods that are perishable or subject to rapid deterioration.
  • e) The supply of sealed goods that cannot be returned for health protection or hygiene reasons if unsealed after delivery.
  • f) The supply of goods that, due to their nature, are inseparably mixed with other goods after delivery.
  • g) The supply of alcoholic beverages, the price of which was agreed upon at the time of contract conclusion, and delivery can only occur after 30 days, and their value depends on market fluctuations beyond the seller's control.
  • h) Emergency repairs or maintenance carried out at the consumer’s explicit request. This does not apply to contracts involving other services or additional goods.
  • i) The supply of sealed audio or video recordings or computer software unsealed after delivery.
  • j) The supply of newspapers, periodicals, or magazines, except for subscription contracts.
  • k) Goods purchased through public auctions.
  • l) Accommodation services other than for residential purposes, transportation of goods, car rental services, catering, or services related to leisure activities where the contract specifies a specific time or period for service delivery.
  • m) The supply of digital content not provided on a tangible medium, where the consumer explicitly consented to the start of delivery before the withdrawal period ended and confirmed understanding of losing the withdrawal right.
  1. The operator reserves the right to adjust prices. The applicable price is the one stated in the confirmation email for the order. Prices do not include consulting services, shipping, or any other fees unless specified in the product description. Prices are based on the valid price list. Discounted prices (e.g., "sale" or "clearance") are clearly marked and valid until stock is depleted or for the duration specified for the discount.

  2. Payments can be made in-store, cash-on-delivery to the courier, by bank transfer, or via the 24-pay online payment gateway (Instant payment, Card payment, Bank transfer). This gateway is authorized and regulated by the National Bank of Slovakia, Authorization No. ODB-8835-5/2012.

  1. If the client is located abroad or currently residing outside of Slovakia, the operator will negotiate payment and delivery terms with the client individually. For deliveries to the Czech Republic, the client pays for the goods and shipping costs, which are calculated in CZK according to the current exchange rate of the National Bank of Slovakia (www.nbs.sk).

  2. Warranty conditions are governed by the Complaints Procedure.

  3. The operator is not responsible for delayed delivery caused by the carrier (post, courier) or incorrect address provided by the client. The client is obliged to thoroughly check the goods upon receipt from the carrier and confirm receipt by signing the delivery receipt. If the shipment is visibly damaged or destroyed, the client is obliged not to accept the shipment and to contact the operator immediately. Claims for non-delivery or damage to goods caused by the carrier must be made directly with the carrier. Claims for mechanical damage to goods caused during transportation, confirmed as undamaged by the client upon receipt from the carrier, will not be acknowledged by the operator, and no compensation will be provided for such claims.

  4. All electronic orders for goods are considered proposals to conclude a purchase contract and are not binding. The client has the right to cancel the order without providing a reason at any time before the goods are dispatched, either via email or telephone. The operator reserves the right to cancel an order if the goods cannot be delivered due to force majeure, discontinuation of production, stock depletion, or if the goods cannot be delivered at the price listed in the online store. In all such cases, the operator will inform the client. The operator is obliged to offer an alternative product, which the client can choose to accept or decline and cancel the order. In case of cancellation, any payments made will be refunded to the client within 14 days in the same manner as the payment was made unless otherwise requested by the client.

  5. The client declares that they consent, in accordance with Act No. 18/2018 Z.z. on the Protection of Personal Data, to the processing and storage of their personal data, especially the data mentioned above, and/or any data necessary for the operator's operations. The client grants this consent for an indefinite period. The client can withdraw their consent to personal data processing at any time in writing (via email, letter) or by phone, upon which the operator will delete their personal data from its database. Registered clients can update their personal data directly in online mode on the online store’s website after logging in.

  6. After placing an order or registering, the client may receive notifications about product offers, promotions, and services provided by the seller. The client can opt-out of receiving such notifications at any time via a link included in the emails they receive.

  7. Business relationships (as well as other legal relationships that may arise from them) with individuals (consumers) who are not acting in the course of their business activity are governed, in addition to the general provisions of the Civil Code, by special regulations, particularly Act No. 108/2024 Z.z. on Consumer Protection and on Amendments to Certain Acts for the Sale of Goods or Provision of Services Based on Contracts Concluded at a Distance or Outside the Seller's Premises.

  8. The client and the operator agree that electronic communication, particularly via email and the internet, is fully recognized as valid and binding for both parties. Electronic communication is not acceptable for withdrawal from the purchase contract.

  9. By sending an order, the client confirms that they have read these Terms and Conditions (VOP) and fully agree with them. Regardless of other provisions of these Terms and Conditions, the operator is not liable to the client for any loss of profit, missed opportunities, or any other indirect or consequential damages resulting from negligence, breach of the purchase contract, or arising otherwise. Should any provisions of these Terms and Conditions be deemed invalid or unenforceable by competent authorities of the Slovak Republic, the validity and enforceability of the remaining provisions remain unaffected.

  10. These Terms and Conditions are valid as stated on the operator’s website on the day the electronic order form is submitted, unless explicitly agreed otherwise by both parties. The operator reserves the right to amend these Terms and Conditions. The obligation to notify changes to the Terms and Conditions is fulfilled by publishing the updated version on the operator's website.

  11. These Terms and Conditions are effective as of 01.07.2024 and fully replace the previous Terms and Conditions. The operator reserves the right to amend the Terms and Conditions without prior notice.
